Selling Your UAE Business? Don’t Forget Who Owns the Registered Trademarks

UAE Business Sale and Trademark Ownership

Are you selling the brand along with the business, or leaving its ownership unresolved? You need that answer before the sale agreement is signed. A familiar name on packaging does not tell us whose name appears on the trademark registration. For a business sale, start with the rights being transferred and the person or company entitled to transfer them.

We at Jitendra Intellectual Property help businesses with ownership changes and renewals, drafting and recording assignment agreements, along with trademark registration services.

Who Owns the Trademark When a UAE Business Is Sold?

The answer depends on the registered owner and how the deal is structured. Buying company shares differs from buying selected business assets. The trademark documents need to reflect that distinction.

Check the Registered Owner’s Name

Pull the registration certificate and compare it with the current trademark record. A founder might have registered the mark personally, even though the company has used it throughout its trading history.

If that is the position, the founder’s participation in the transfer needs addressing. A company cannot simply promise ownership of someone else’s asset. Earlier assignments also deserve attention, particularly where the business has changed hands before.

Separate a Share Sale From an Asset Sale

If the buyer acquires shares and the same company continues to own the trademark, the shareholder changes while the trademark owner remains the company.

An asset sale raises a different question: which rights move to the buyer? The agreement should identify the relevant registrations rather than rely on a loose reference to “the brand.” A mark held by another group company needs separate attention.

Understand the UAE Rule on Business Transfers

UAE trademark law provides that transferring a commercial business includes closely connected trademarks registered in its owner’s name, unless agreed otherwise.

That default rule makes exclusions worth reading carefully. If the seller intends to retain a trademark, the agreement needs to address that expressly. It should also explain how the buyer will operate without owning it.

Review Existing Trademark Licences and Restrictions

An assignment transfers ownership. A licence permits use while ownership stays elsewhere.

For a buyer expecting exclusive control, an existing licence could change the commercial value of the deal. Ask for the underlying agreements, including any consent or termination provisions. Any pledge over the trademark also needs resolving within the transaction, rather than being discovered after closing.

Look at the Renewal Date

UAE trademark protection runs for 10 years from the application filing date and can be renewed. A sale does not restart that period.

A registration approaching renewal therefore belongs on the transaction timetable. Agree who handles the renewal if it falls between signing and closing, and make sure the supporting records reach the buyer.

Documents Needed for a UAE Trademark Ownership Transfer

The Ministry of Economy and Tourism lists specific documents for its ownership transfer service. Having the sale agreement ready does not mean the trademark application is ready.

The listed requirements include:

  • A valid trademark registration certificate.
  • A notarized trademark transfer contract.
  • A trade licence  for UAE companies or institutions.
  • A legal power of attorney for agent submissions.

Names and registration details should match across the documents. Resolve discrepancies before filing, especially where an older certificate uses a previous company name.

Completing the Trademark Transfer Before and After Closing

Signing the transfer contract is not the final step. Under UAE law, the ownership transfer must be entered in the trademark register and published to be enforceable against third parties. The closing documents should assign responsibility for completing those formalities.

Build the handover around a short list of responsibilities:

  • Name the person handling the application.
  • Set deadlines for signatures and missing documents.
  • Agree any temporary brand-use arrangements.
  • Deliver evidence of registration and publication.

The ministry lists an average service delivery period of 15 working days. Treat that as a planning estimate, not a guaranteed closing date. Document preparation and responses to queries also need room in the schedule.

FAQs

Does selling a UAE company automatically transfer its trademarks?

Buying shares usually leaves company-owned trademarks with that company. Asset sales require attention to ownership, transfer terms and registration formalities.

What if the founder personally owns the registered trademark?

An individually owned trademark needs the founder’s participation in the transfer. Selling company shares alone does not transfer that asset.

Must a UAE trademark assignment be recorded?

Yes. A trademark transfer must be entered in the register and subsequently published to be legally enforceable against third parties.

What documents are needed to transfer a UAE trademark?

The ministry lists a valid registration certificate, notarized transfer contract, applicable trade licence  and power of attorney for agent submissions.

How does trademark assignment differ from licensing?

Ownership passes through an assignment. A licence instead permits agreed use while leaving the trademark with its existing legal owner.
